This role will work a hybrid schedule in our Columbus, Ohio office. This role will report to the Senior Vice President, Chief Legal Officer and Corporate Secretary.

JOB OBJECTIVE:

The Corporate Paralegal plays a critical role in providing legal support and assistance to the legal department, executives, Corporate Secretary, and Board of Directors. This position involves a wide range of responsibilities, including legal research, document preparation, contract management, and corporate governance support. The Corporate Paralegal works closely with legal, executives, and other stakeholders to ensure compliance with legal requirements and to facilitate efficient business operations.

ESSENTIAL FUNCTIONS:

  • Conduct legal research on various topics relevant to corporate law, including statutes, regulations, and case law.
  • Draft and review legal documents, including contracts, agreements, corporate resolutions, and regulatory filings.
  • Manage the lifecycle of contracts, including drafting, negotiation, execution, and maintenance of contract databases.
  • Support the company's risk management and compliance initiatives.
  • Assist with corporate governance matters, such as maintaining corporate records, preparing board meeting materials, and ensuring compliance with corporate formalities.
  • Support due diligence efforts in corporate transactions, including mergers, acquisitions, and corporate restructuring.
  • Monitor regulatory developments and assist in compliance efforts to ensure adherence to applicable laws and regulations.
  • Assist attorneys in corporate litigation matters, including document collection, review, and preparation of discovery materials.
  • Collaborate with internal stakeholders, including executives, finance, profit centers, and other departments, to address legal issues and achieve business objectives.
  • Stay abreast of changes in laws, regulations, and industry trends relevant to corporate law and providing recommendations for process improvements.

KNOWLEDGE, SKILLS AND ABILITIES:

  • Bachelor's degree or equivalent experience preferred; paralegal certificate preferred.
  • Four to seven years of experience working as a paralegal, preferably in a corporate legal environment strongly preferred.
  • Strong understanding of corporate law principles and legal procedures.
  • Proficiency in Microsoft Office Suite and experience with legal research databases and contract management systems.
  • Excellent written and verbal communication skills, with the ability to communicate effectively with internal and external stakeholders.
  • Strong analytical and problem-solving skills, with the ability to identify issues and propose solutions.
  • Exceptional organizational skills with the ability to manage multiple tasks and prioritize effectively in a fast-paced environment.
  • Meticulous attention to detail and accuracy in document preparation and review.
  • Ability to work collaboratively within a team environment and build positive working relationships.
  • Demonstrated professionalism, discretion, and ability to maintain confidentiality.
  • Proficiency utilizing digital legal and compliance research applications.
